Legal

Terms of Service

Version 0.9 · effective 2026-10-11

Draft. Pending legal review.

Please read section 14. It says that a dispute between you and Tran Cap LLC is settled by individual arbitration, not in court and not as a class action, and how you can opt out of that within 30 days.

In plain words

  • ResiSet is an app where hosts of short-term rentals find cleaners, and where cleaners find work, send photo reports and get paid. It is run by Tran Cap LLC.
  • ResiSet is not a cleaning company and not anyone's employer. The host and the cleaner make their own agreement with each other. We provide the introduction, the tools and the way to pay.
  • Cleaners are independent businesses. They choose their cleans, can counter any price, and are paid the whole price the host agreed to, by the host, into their own Stripe account. ResiSet takes nothing out of it; the only thing that comes out is Stripe's card processing fee, as for any business that takes cards.
  • Hosts pay the price, nothing more. Booking charges nothing: a hold goes on the host's card before the clean, and the card is charged after it.
  • ResiSet earns from plans. Hosts and cleaners can use it for free; a plan adds things like more units, a public page or Featured placement, never the work itself.
  • A host's rating, tags and review of a cleaner can appear on the cleaner's public ResiSet page, with the host's first name. The host can take them off the page at any time.
  • We do not run background checks, and we do not guarantee the quality of a clean or how anyone behaves.
  • Photos are of the place, never of people, IDs, mail, documents or screens.
  • If you turn texts on, we text you about cleans booked in the app. Message and data rates may apply. Reply STOP to stop them. You never need them to use ResiSet.
  • You must be 18 or over. One account per person.
  • If these terms change in a way that matters, we tell you in the app 14 days before, and ask you to agree again.
  • If ResiSet moves to another company, these terms and your account move with it. We tell you 14 days before.
  • Disputes with us go to individual arbitration (section 14). You can opt out within 30 days of first accepting these terms, in Profile or by email.

This summary is here to help. The full text below is what counts.

1. Who we are and what ResiSet is

ResiSet is published by TRAN CAP LIMITED LIABILITY COMPANY, a California limited liability company ("Tran Cap LLC", "we", "us"). "ResiSet" means the iPhone app, the web pages that go with it and the service behind them.

ResiSet is a marketplace and a set of tools. Hosts post cleans for their units. Cleaners look for cleans, ask for the ones they want, do the work, and send a report with photos. Hosts pay cleaners through the app.

The app and the web pages. Accounts are created in the ResiSet app, on an iPhone or an Android phone. The web pages at resiset.com sign an existing account in and then do what the app does with a clean: a host adds places, posts cleans, sees who asked, books, reads the report, releases the payment, messages and rates; a cleaner says where they work, sets up getting paid, looks at the board, asks for a clean or takes one offered to them, sends the photo report, messages and is paid. A few things are in the app only: the plans, the day-before check by text, and a cleaner's post or review images. Whatever the web lacks can be asked of us by writing to support@resiset.com from the email of your account.

ResiSet is not:

  • a cleaning company. We do not clean, and we do not send anyone to clean.
  • an employer, a staffing agency or a joint employer of any cleaner.
  • a party to the agreement between a host and a cleaner. When a host approves a cleaner for a clean, the two of them have made an agreement with each other, on the price and the terms the host posted and the cleaner accepted.
  • a party to the payment. The host pays the cleaner, through the cleaner's own Stripe account. We charge nothing on a clean and never hold the money.
  • a guarantor. We do not promise the quality, safety or legality of any clean, any unit or any user's behaviour.

2. Who can use ResiSet

  • You must be 18 or over.
  • One account per person. Use your real name. Keep your details accurate.
  • If you clean: you must be legally allowed to work in the place where you clean.
  • ResiSet does not run background checks on hosts or cleaners. Decide for yourself who you let into a unit and whose unit you go into.
  • ID verification. A cleaner may have their identity checked through Stripe Identity: a photo of an ID document and a selfie, compared by Stripe. ResiSet pays for it. A cleaner whose check passed shows "ID verified". It means the ID was real and matched the person who took the selfie; it says nothing about their record, their work or their behaviour.

3. Your account

You are responsible for what happens under your account. Keep your password to yourself and tell us if you think someone else has used your account.

We may pause or close an account for any of these:

  • fraud, or an attempt at it, including false reports, false photos and payment abuse.
  • harassment, threats or abuse of another user or of our support staff.
  • photographing people, identity documents, mail, papers or screens in a unit.
  • using an address, entry instructions or contact details learned through ResiSet for anything other than the clean they were given for.
  • repeatedly not showing up for cleans you accepted, after a person at ResiSet has looked at what happened (see the Cancellation Policy).
  • refusing to work with someone, or to let someone work, because of race, colour, religion, sex, sexual orientation, gender identity, national origin, age, disability or any other ground the law protects.
  • breaking these terms or the Community Guidelines in a serious or repeated way.

We do not pause accounts for low ratings, and never for declining cleans. Nothing pauses an account on its own: a person decides. When we pause or close an account we say why, and you can write to us about it.

Connected apps. You can let an app such as Claude or ChatGPT use your account, from ResiSet's sign-in page, and disconnect it in Profile › Connected apps. It acts for you: you are responsible for what it does with your account, as if you had done it yourself. ResiSet doesn't make or control the app, and its maker's own terms apply to it. It can't pay, approve a cleaner or see how to get in to a place.

4. If you are a host

  • You set the price and what you expect. The photo list, the reference photos and the checklist on a clean are your instructions to the cleaner, not ours. The three parts of the report that ask about guests, damage and repairs are on your checklist as your own instructions; you can switch any of them off for a place.
  • You pay the cleaner. When a cleaner has done a clean you booked, you owe them the price you agreed, and you pay it through the app as section 6 says.
  • You are responsible for the unit being safe to clean, and for the entry instructions being right.
  • Post cleans only for units you have the authority to have cleaned.
  • Ask only for cleaning and light restocking. No childcare, no pet care, no work with hazardous materials, nothing that needs a licence the cleaner has not told you they hold.
  • Your unit's photos and the reports you receive are yours to keep and use for running the unit. You may not publish a cleaner's report photos anywhere outside the report.
  • Property damage, theft, injury and insurance are between you, the cleaner and your insurers. See section 12.
  • Cleans posted on their own. If you switch this on for a place, each check-out on its connected calendar becomes a posted clean, in the hours and at the price you set for the place. Such a clean is yours as if you had posted it by hand; you can change or cancel it like any other.
  • Starred cleaners can be starred for one place or for all of them. A starred cleaner who takes a clean offered to them books it straight away, with a hold on your saved card as when you book. Nothing is charged until after the clean.

5. If you are a cleaner

You use ResiSet as an independent business, not as our employee, worker or agent.

  • You choose your cleans. You may accept or decline any clean, as often as you like, with no penalty and no effect on what you are offered.
  • You set your price. You may counter any price a host posts, before or after you are booked. ResiSet never sets, suggests or caps a rate.
  • You decide how and when. You choose when to arrive within the host's window, and your own methods, tools and supplies.
  • You may work for anyone. Other apps, your own clients, and hosts you met here.
  • You sell your service to the host, and the host pays you. You receive the whole price the host agreed to, into your own Stripe account. ResiSet takes no commission, fee or cost out of it. Stripe's card processing fee comes out of the payment, as for any business that takes cards (section 6).
  • You run your own business. Your taxes, insurance, licences and permits are yours to handle. ResiSet does not withhold tax and does not provide insurance or benefits.
  • Helpers and team-mates are your own arrangements. If you bring a helper or take a clean for your team, the host pays you, and you pay them what you agreed with them. The app records the split and reminds you; how you work together is between you.

Before your first request for a clean, and again when the Cleaner Acknowledgement changes, you will be asked to confirm it; it says the same in a few lines.

6. Payments

  • Hosts pay cleaners directly. Payments run through Stripe. The host's card is charged by the cleaner, on the cleaner's own Stripe account: the cleaner is the seller the host's bank sees. ResiSet is not a party to the payment, charges nothing on a clean, and never holds the money. We do not see or store card numbers or bank details; Stripe does.
  • Hosts: booking charges nothing. Before you book you see the price, which is the whole amount. Shortly before the clean (48 hours before its hours begin, or at once when the clean is sooner), a hold is placed on your saved card for that amount, from the cleaner's Stripe account. This is a card authorization: the money stays in your account and is not charged. On a debit card, the amount on hold can't be spent until the hold ends, and a cancelled hold can take a few days to disappear. By booking you authorise the hold, and the charge described below.
  • The charge comes after the clean. Once the report is in, your card is charged the price when you tap Release on the clean's page, or on its own 48 hours after the report unless you have raised a problem with us in that time. If a hold would run out before then, we place a new one for the same total and cancel the old one. If your bank declines the new one, we charge your card before the old hold runs out, even if you've raised a problem with us, and settle the problem as the Cancellation Policy says. Your payment settles what you owe the cleaner for that clean.
  • If the clean doesn't happen, you are not charged. The hold is cancelled when the cleaner did not come, when you cancelled in good time, when the clean was given back, or when you and the cleaner both say in the app that you settled outside it. If you cancel within 24 hours of the clean's hours, a tenth of the price is charged for the cleaner, and the rest of the hold is cancelled (see the Cancellation Policy).
  • If the hold doesn't go through (the card is declined, or your bank wants you to confirm it), the app tells you and the cleaner, and tries again; you can use another card from the clean's page. Until the hold is in place, the cleaner may give the clean back without it counting against them. To accept a cleaner's higher rate on a booked clean, a hold for the new total is placed first; if your card declines it, the rate stays as it was.
  • Cleaners: the host pays you. The whole price goes to your Stripe account when the host's card is charged after the clean. The app shows you when the payment is secured (the hold is in place). Stripe's card processing fee comes out of it, as for any business that takes cards; the app shows you an estimate before you ask for a clean and the exact fee after the charge. Stripe pays you out to your bank on its own schedule. To be booked in the app, and to be paid, you set up a Stripe account through the app, complete Stripe's identity steps and accept the agreement Stripe shows you for it. Refunds and chargebacks on your cleans are yours: the Cancellation Policy says how they work and how we help.
  • Helpers and teams. When you bring a helper or take a clean for your team, the host pays you, the cleaner who took the clean. The app records the split you agreed with them and reminds you to pay them; paying them is between you.
  • Plans. Hosts and cleaners can use ResiSet for free, for as long as they like. A plan adds more: for hosts, more units, co-hosts, reports and tools; for cleaners, a public page, the words of your reviews, review and photo images, Featured placement and business tools. A plan never changes what work you can get, whether you can be booked, or what you are paid. A cleaner on Plus or Pro may choose to show "ResiSet Plus" or "ResiSet Pro" on their profile and public page. It says only that they have the plan, never anything about their work. Subscriptions are bought through Apple, by the week, the month or the year, renew automatically until cancelled in your Apple ID settings, and are refunded under Apple's rules. If a plan ends, nothing you have is removed; you cannot add beyond what the Free plan includes until you are back under it.
  • Featured. A cleaner on the Pro plan appears to hosts above other cleaners, after the host's own starred cleaners, with a "Featured" label on every screen and in every answer the connector gives. It changes the order only: it never hides anyone, delays anyone or changes who a host chooses.
  • Your public page. A cleaner on a plan can have a public page on resiset.com. You choose whether it's on, its address, the area you work in your own words and whether search engines may list it. Section 8 says what appears on it. It's never on for a paused account.
  • Your business page. Stripe asks every business that takes cards for a website. So every cleaner, on every plan, has a business page at resiset.com/c/ and a random code, which we give Stripe as your business's website. It shows your first name and last initial, the month you joined, and the same words for every cleaner about the services, prices, payment, cancellations and refunds, and how to reach you and us. It is not for marketing: it has no handle, area, badges or reviews, and search engines are told not to list it. Its address never changes.
  • Plan time as a reward. Codes, vouchers, referral rewards and our launch offers give time on a plan, never money and never credit against a clean. Plan time has no cash value, can't be passed on, and is added to the end of whatever plan time you already have. If you sign up with someone's referral code, you and they each get a month on a plan once your first clean has been charged in the app. Where we offer plan time for your first cleans in an area, the offer in the app says what counts (such as a clean paid in the app of at least a set price, with no problem raised about it within 14 days), one offer per person, and one clean never earns two rewards. We check each reward and may refuse one obtained by fraud or by referring yourself. We may end new offers at any time; what you have earned stays.
  • Friends-and-family codes. We give these to people we know, one code per person. Once you enter one, you have the Pro plan at no charge, for as long as we keep the code; it has no cash value and is for your account only. We may withdraw it at any time, and your account goes back to the Free plan or to a plan you buy.
  • A host and a cleaner may settle outside the app. Each says so from the clean's page; once both have, the clean is marked as settled outside ResiSet and the hold on the host's card is cancelled. We have no part in that payment.
  • Refunds, disputes and chargebacks are covered by the Cancellation Policy.
  • Taxes are your own responsibility. If you clean, you are the seller of your service; any sales tax, income tax or business tax on it is yours to report and pay. Where the law requires, Stripe issues tax forms for what you were paid through it, to you and to the tax authorities.

7. Photos, videos and reports

  • Photos must show the property. Never photograph people, identity documents, mail, papers, or screens.
  • Videos. A host may add a short video about a place; it is shown to a cleaner only once they are booked there. A cleaner may add a short video introducing themselves; it is shown to signed-in hosts on their requests and profile. Videos follow the same rules as photos: apart from yourself in your own introduction, no people, no identity documents, mail, papers or screens.
  • Guests' belongings will sometimes be in a photo because they are in the room. Hosts and cleaners both keep what they see confidential.
  • If you clean, you give the host, and ResiSet, a licence to use the photos and the report for the report itself, for handling a dispute and for support. You keep any other rights you have in them.
  • Hosts may not publish report photos outside the report. A cleaner may share an image made in the app from a report, with the host's photos only as the app allows it.
  • We keep reports and photos for a limited time; the Privacy Policy says how long.

8. Ratings, reviews and tags

Ratings must be honest and about the work or the clean. No ratings in return for anything, and no ratings to get back at someone. Ratings come from hosts and cleaners, not from ResiSet. Nothing is given for a rating, by us or by anyone: no plan time, no reward, no better placement. We may remove a rating, tags or a review that breaks these terms.

Tags. A host rating a cleaner may add up to three tags from a short list ("on time", "thorough", and so on). They are the host's words, like the review.

Where a review appears. Your rating, tags and review of a cleaner are seen by signed-in users in the app. They may also appear on the cleaner's public ResiSet page, which anyone on the web can read, with your first name and the month, never your full name, your place or its address. The page shows every review, newest first; nothing is left out by its rating. You can take your review off the page at any time from Help › My reviews; it stays in the app. A review you wrote before accepting this version of these terms doesn't appear on a page until you have accepted it. A cleaner can share an image of a review, made in the app, with the same words and your first name.

A clean that the host and the cleaner both say they settled outside ResiSet is not rated by either of them, and any rating already given on it is removed.

9. Cancellations and no-shows

The Cancellation Policy is part of these terms.

A clean, open or booked, is called off from the clean's page, in the app or on the web; the Cancellation Policy's times and charges apply from that moment.

10. The app, your content and acceptable use

  • We give you a personal, non-transferable licence to use ResiSet for its purpose. The app, its design and its name belong to Tran Cap LLC.
  • What you put into ResiSet (listings, photos, messages, reviews) stays yours. You give us the licence we need to run the service with it: to store it, show it to the users the app's rules show it to, show a review on a cleaner's public page as section 8 says, and use it for support and safety.
  • Do not: break the law with ResiSet; copy, scrape or reverse-engineer it; get around its access rules; upload malware; pretend to be someone else; or use it to send spam.

11. Things we do not promise

ResiSet is provided as it is. To the fullest extent the law allows, we make no warranties about it, express or implied: not that it will always be available, not that it is free of errors, not that it is fit for a particular purpose, and not about any user, unit, clean, payment or report.

12. Limits on our liability

To the fullest extent the law allows:

  • We are not liable for the acts or omissions of hosts or cleaners, for the quality of any clean, for a payment between a host and a cleaner, or for property damage, theft, loss or injury in connection with a clean. Those are matters between the host, the cleaner and their insurers. This does not cover a loss caused by our own gross negligence, wilful misconduct or breaking the law.
  • We are not liable for indirect, incidental, special or consequential losses, or for lost profits or lost bookings.
  • Our total liability to you for anything connected with ResiSet is limited to the greater of what you paid us for plans in the twelve months before the claim and one hundred US dollars. This cap does not apply to an amount we charged you in error.

Nothing here limits liability that the law does not allow to be limited.

13. If your use harms us

If someone else brings a claim against us because you broke these terms, broke the law or acted wrongfully, you will cover our reasonable costs and losses from it. This never applies to a claim about whether a cleaner is an employee of ours, or to a claim caused by our own fault.

14. Disputes with us: arbitration, and governing law

Please read this section carefully. It affects your rights.

Talk to us first. Write to legal@tcap.studio with what happened and what you'd like done, and we'll try to sort it out within 60 days. Most things are settled by email.

Agreement to arbitrate. If we can't, you and Tran Cap LLC agree that any dispute or claim between us connected with ResiSet, these terms or your account, however it arises and whenever it arose, is settled by binding individual arbitration, not in court. This includes any disagreement about whether this section applies or can be enforced, which the arbitrator decides. The Federal Arbitration Act governs this section.

Who runs it. The American Arbitration Association (AAA), under its Consumer Arbitration Rules for a dispute with a host and under its Employment/Workplace Arbitration Rules for a cleaner's claim about their work, as in force when the claim is filed, except where this section gives you more. The rules, and how to start a case, are at adr.org. If AAA can't or won't run the case, a court will appoint another provider.

What we pay. You pay no more than you would pay to file the claim in court; we pay every other fee of the arbitration: filing, case management and arbitrator fees. If you win, the arbitrator may award you the fees and costs the law allows. We won't seek our own fees or costs from you unless the arbitrator finds that your claim was frivolous.

How it runs. The hearing is in the county where you live, or by video, as you choose. Each side can get the information it needs to present its case, with discovery suited to the claim, and the arbitrator decides any disagreement about that. The arbitrator applies the same law and the same limitation periods a court would, and can award you, individually, everything a court could, including declaratory and injunctive relief for your own claim. The arbitrator gives a written decision with reasons. No deadline in this section is shorter than the law's.

What stays out. Either of us can bring an individual claim in small claims court, if it qualifies there. You can always bring a complaint to a government agency, such as the Labor Commissioner, the Employment Development Department, the Civil Rights Department or the Federal Trade Commission, and the agency can act on it. Claims of sexual harassment or sexual assault are not covered, as federal law provides. A host may ask a court for a public injunction (an order that protects the public), and the rest of that claim goes to arbitration.

No class actions. Claims are brought one by one. The arbitrator can't join or consolidate claims of different people, can't run a class, collective or representative arbitration, and can't award relief to anyone but you, except as a public injunction above. If a court finds this paragraph unenforceable for a claim, that claim goes to court, never to class arbitration, and the rest of this section stays.

Many similar claims. If 25 or more similar claims are filed by or with the same lawyers, AAA's own rules for mass arbitration apply, without any changes by us.

PAGA. If you are a cleaner and bring a claim under California's Private Attorneys General Act, the part that is about you is arbitrated, and the part brought on behalf of others stays in court and waits until the arbitration ends.

Opting out. You can opt out of arbitration within 30 days of first accepting a version of these terms that contains this section: tap "Opt out of arbitration" under Profile › The fine print, or email legal@tcap.studio from your account's email address with "Opt out of arbitration" as the subject. We record it and tell you. Opting out changes nothing else about your account; you can still use ResiSet.

Governing law and courts. California law governs these terms, without regard to its conflict-of-laws rules; the Federal Arbitration Act governs this section. A claim that isn't arbitrated, because you opted out or because this section leaves it out, goes to the state or federal courts in Los Angeles County, California, and you and we consent to them.

15. Changes to these terms

We may change these terms. For a change that matters we give notice in the app at least 14 days before it takes effect, with a summary of what changed, and ask you to agree again. If you do not agree you can stop using ResiSet and delete your account. A change to section 14 does not apply to a claim that already exists, or to a dispute about events before the change.

If ResiSet moves to another company. We may transfer these terms, and your account, to a company that takes over ResiSet, such as a company we set up to run it or one that buys it. We'll tell you in the app at least 14 days before. These terms stay the same, and that company takes on our obligations to you under them. Agreements between hosts and cleaners aren't affected. You may not transfer these terms or your account to anyone else.

16. Text messages

  • What they are. If you turn texts on in Profile › Texts, ResiSet texts you about cleans booked in the app. If you clean: about a day before each clean you're booked for, to ask whether it's still on. If you host: when the cleaner you booked can't make a clean, or hasn't answered; when a cleaner who can reach your place has joined, or posting at it has opened; and when nobody has asked for a clean two days before it. They are never marketing.
  • How often. Message frequency varies: usually one or two texts per clean, more if you reply with a question, and never more than three a day.
  • Cost. Message and data rates may apply.
  • Help and stopping. Reply HELP for help. Reply STOP to stop every text from ResiSet, and START to get them again. CANCEL, END, QUIT and UNSUBSCRIBE stop them too. You can also turn texts off in Profile › Texts, or ask us at support@resiset.com. A reply of CANCEL only turns texts off: it doesn't give a clean back, which you do in the app.
  • Your replies. YES confirms the clean. NO gives it back, as "Give it back" does in the app and under the same rules (section 9). Anything else you write goes to the host, in the clean's conversation.
  • Not required. Agreeing to texts is not a condition of using ResiSet, or of being booked. Everything a text does can be done in the app, which always asks the same question.
  • Delivery. Mobile carriers are not liable for delayed or undelivered messages. A text can arrive late or not at all.
  • Your number. US mobile numbers only. Only you and ResiSet see it. You can change or remove it in Profile › Texts.

17. The rest

  • If a part doesn't hold. If any part of these terms is found unenforceable, the rest stands, and that part is applied as far as the law allows, except as section 14 says about class actions.
  • No waiver. If we don't act on a breach of these terms, we haven't given up the right to act on it, or on a later one.
  • The whole agreement. These terms, with the Privacy Policy, the Cancellation Policy, the Community Guidelines and, for cleaners, the Cleaner Acknowledgement, are the whole agreement between you and us about ResiSet. They replace anything earlier about it.

18. Contact
